The Position:
Report to: COO & CFO
We are seeking a Commercial Legal Council with strong international experience to join our team in Barcelona. The successful candidate will support Aizon globally across multiple jurisdictions, managing a broad range of commercial legal matters, including customer contracts, supplier agreements, partner contracts, licensing, and confidentiality agreements (NDAs). This role requires a business-oriented legal professional who can work independently, navigate international legal frameworks, and collaborate closely with Sales, Customer Success, Finance, and the Executive teams to facilitate compliant and effective commercial operations worldwide.
Key Responsibilities:
- Commercial Contracts
- Draft, review, and negotiate a wide range of commercial agreements, including:
- SaaS subscription agreements
- Professional services agreements
- Supplier and procurement contracts
- Technology licensing and partnership agreements
- Distribution and channel partner agreements
- Master Service Agreements (MSAs) and Statements of Work (SOWs)
- Prepare, review, and negotiate NDAs for both customers and suppliers.
- Provide guidance on international commercial law and cross-border contracting practices.
- Identify legal risks and propose practical solutions aligned with business objectives.
- Ensure compliance with applicable regulations (e.g., data protection, export controls, industry-specific obligations).
- Support continuous improvement of contract templates, playbooks, and internal processes.
- Work closely with Sales and Customer Success teams during pre-sales and contracting cycles.
- Support Finance and Quality in supplier onboarding and negotiation processes.
- Partner with Product, Finance, and Operations teams to assess legal implications of business decisions.
- Assist in the management and oversight of external counsel when needed.
- Support internal governance, corporate records, and policy development.
- Assist in legal operations and global expansion activities as needed.

Qualifications: Must-have
- Law degree (LL.B. or equivalent); Master’s degree in International or Commercial Law strongly preferred.
- 5+ years of experience in commercial law, preferably within a technology, SaaS, or highly regulated industry.
- Strong knowledge of international contracting frameworks and cross-border legal considerations. Previous exposure to US contracting standards and common law jurisdictions.
- Familiarity with data protection and privacy regulations (GDPR and global equivalents).
- Demonstrated experience drafting and negotiating complex commercial agreements in English.
- Excellent communication skills and business acumen.
- Ability to prioritise, manage multiple tasks, and work independently in a fast-paced environment.
- Proactive mindset with strong ownership and independence
- Willing to comply with and follow all regulations required when working in a highly regulated environment, such as ISO standards and GMP regulations.
Qualifications: Nice - have
- Exposure to legal considerations related to AI/ML technologies
- Background in international scale-ups or fast-growth tech environments
- Experience supporting cross-border operations (US, APAC, LATAM)
- Additional languages (especially Spanish) are a strong plus.
