About this role:
Groq is seeking an experienced Corporate Lawyer to serve as the primary legal advisor for Groq’s Legal, Finance and Executive team on all corporate and securities matters. The ideal candidate is a strategic thinker, curious learner, and thrives in a fast-paced, high-growth environment.
Responsibilities & opportunities in this role:
- Advise on a comprehensive range of corporate and securities law matters, including the development, implementation, and refinement of governance policies and procedures, to support Groq’s continued innovation and growth.
- Collaborate with internal stakeholders to manage the corporate governance of Groq’s domestic and international subsidiaries, supporting our ongoing global expansion strategy.
- Provide legal guidance and support for board of director matters—partnering internally to shape board meeting agendas, prepare materials, and update governance policies.
- Advise on equity-related matters, such as overseeing equity transfer requests and supporting equity plan management.
- Partner closely with the finance team to provide legal support for corporate entity financial operations, regulatory audits, and company filings, ensuring accuracy and compliance with all applicable requirements.
- Cultivate and maintain strong working relationships with internal teams and external advisors to drive seamless execution of strategic transactions.
- Oversee, draft, and review company disclosure materials to ensure Groq’s compliance with federal, state, and foreign securities law requirements across jurisdictions.
- Lead or provide support for other critical corporate and securities legal projects, with a focus on process improvement and scalable risk management.
- Monitor and interpret changes in corporate laws; communicate legal updates and provide proactive guidance to the legal team and senior management
- Manage and supervise outside counsel on all types of corporate and securities matters.
Ideal candidates have/are:
- At least 5 years of in-house corporate legal experience in a fast-paced, high-growth environment, in addition to 3+ years of law firm experience and training
- Experience with and knowledge of corporate and securities laws and transactions
- Experience drafting and negotiating board materials, governance documents, and agreements
- Proven ability to think critically and strategically, understanding the company's business goals and objectives, and developing legal strategies to support those goals.
- Strong communication and interpersonal skills, with the ability to build and maintain relationships with key stakeholders.
- Ability to be flexible in a fast-paced environment with limited direction and at times imperfect information, balance competing priorities, and manage several time-sensitive projects at once.
- Juris Doctor (JD) or equivalent law degree from an accredited institution
- Admitted to the bar and in good standing or otherwise authorized to practice law.

Compensation: At Groq, a competitive base salary is part of our comprehensive compensation package, which includes equity and benefits. For this role, the base salary range is $301,614 to $408,066, determined by your location, skills, qualifications, experience and internal benchmarks. This range is specific to roles in the United States, compensation for candidates outside the USA will be dependent on the local market.
