Job Description

Tailscale is looking for a highly-motivated, forward-thinking attorney to join as our Director of Legal. This is an exciting opportunity to build out our legal and compliance function by serving as a true generalist and key advisor to our GtM, G&A, and product teams. You will leverage both your own expertise and that of outside counsel to execute a wide range of commercial, product, compliance, employment, IP, and regulatory initiatives. You have a passion for providing creative, proactive, pragmatic, and actionable legal and business counseling, and strive to mitigate associated risks in order to achieve desired business outcomes. You will help drive customer contracts, take a proactive approach to data privacy and security, manage law enforcement requests, and embed integrity and compliance in all of our operations as the company grows.

Responsibilities:

  • Advise the CEO, COO, and leadership team on legal matters
  • Strive to make our customer-facing agreements (ToS, MSA, DPA, SLA, and more) understandable and well-balanced
  • Draft, review, and negotiate terms for complex enterprise deals, as well as reseller and partnership contracts
  • Provide guidance on data privacy and protection issues, as well as export controls and sanctions, to ensure products and services adhere to relevant laws and regulations
  • Manage corporate legal matters, including equity transactions and governance matters
  • Advise on employment-related issues, including HR policies, employment agreements, and compliance with employment laws
  • Collaborate cross-functionally with teams across the organization, providing legal insights to support strategic initiatives and product development

Requirements:

  • Minimum 7 years of legal experience, including 3+ years at law firms and 3+ years in-house at startup technology companies (strong preference for SaaS or B2B businesses)
  • Exceptional judgment and integrity
  • Excellent business acumen: you’re comfortable thinking through legal issues from a business lens and weighing trade-offs between business agility & legal risk
  • Adept at working in a fast-paced environment: You’re comfortable making quick decisions in the face of ambiguity, uncertainty, and imperfect information
  • Outstanding verbal and written communication skills: You can translate complex legal matters into clear and concise recommendations for cross-functional partners
  • Strong sense of initiative & ownership: you’re proactive at spotting issues & finding solutions; you’re comfortable working autonomously and prioritizing the most high-impact workstreams
  • Strong growth mindset: you’re adaptable, flexible, curious about learning new things, and always looking to develop your skills and improve the way things are done
  • Deep expertise in tech-related legal matters, including SaaS agreements and data privacy regulations (GDPR, CCPA, etc.)
  • Excellent written and verbal communication skills with the ability to break down complex legal concepts into easy-to-understand and practical advice
  • Experience with managing external counsel
  • JD or equivalent degree from an accredited law school and licensed to practice law in Canada (ON) and the US (NY or CA)
  • Fundraising experience in a venture-backed business. (Nice to Have)
